Number of securities in issue
The issued share capital of Veris plc consists of 26,819,712 ordinary shares with a nominal value of €0.002 cent each (“Ordinary Shares”), each share having equal voting rights. Veris plc does not hold any Ordinary Shares in treasury and therefore the total number of Ordinary Shares with voting rights is 26,819,712.
As at 2 December 2009, Veris plc had been notified of the following shareholdings amounting to 3% or more of its ordinary share capital.

This percentage comprises the total holdings of the directors in the Company including those of Niall McFadden, Martin McMahon and Boundary Capital plc outlined above.
